By creating an account, accepting an invitation, starting a subscription, or using Tooldar, you agree to these Terms and the Privacy Policy. If you act for a company, you confirm that you may bind that company.
Accounts and authority
You must be at least 18 and provide accurate information. You are responsible for credentials, passkeys, devices, and activity under your account. Notify support@tooldar.com promptly of suspected unauthorized access. Company Owners and authorized Administrators are responsible for invitations, role assignments, company settings, and lawful use of employee information.
The Tooldar service
Tooldar provides equipment identification, custody records, issue and maintenance workflows, stock controls, package tracking, reports, labels, notifications, and related company-management features. Features may vary by plan or entitlement. Workers are limited to identifying records and reporting concerns; they cannot change custody, stock quantities, package state, administration, reports, printing, or billing.
Tooldar supports operational decisions but does not replace workplace safety procedures, inspections, training, accounting, legal compliance, or human verification. A QR scan, status, recommendation, reminder, or forecast is only as reliable as the data entered and the physical label or item being scanned.
Trials, subscriptions, and automatic renewal
Unless an offer states otherwise, an eligible company receives one 14-day trial tied to the Owner account. The trial is shared by the company. A payment method may be required before paid service begins.
Paid subscriptions renew automatically for the selected monthly or annual billing interval until cancelled. The Owner can review renewal status and cancel from Tooldar billing controls. Cancellation takes effect at the end of the current paid or trial period unless stated otherwise; access continues through that date. Fees are charged in advance, are generally non-refundable except where required by law or expressly stated, and may exclude applicable taxes. We may change future pricing or plan contents with reasonable advance notice.
Failed or reversed payment may restrict company access while preserving the ability to sign in and restore service. Cancelling a subscription is separate from requesting account or company deletion.
Customer data and permission to operate the service
As between Tooldar and the customer, the customer retains ownership of company records and uploaded content. You grant Tooldar a limited right to host, copy, process, transmit, and display that content only to operate, secure, support, and improve the service and to meet legal obligations. You confirm that you have the necessary rights and workplace authority to provide names, work records, photos, supplier information, and other content entered into Tooldar.
Acceptable use
You may not use Tooldar to break the law; violate privacy, employment, intellectual-property, or safety rights; upload malware or unlawful content; probe or bypass security or company boundaries; impersonate another person; scrape or overload the service; reverse engineer except where law permits; resell access without written permission; or use Tooldar to create a competing dataset or service.
Physical labels, vendors, and shipping
Print-ready files and physical-label workflows are convenience features. Customers must confirm label content, placement, suitability, adhesion, durability, and safe use for their environment. Quotes, taxes, shipping dates, vendor acceptance, tracking, and replacements may depend on third parties. An order is not submitted to a vendor or charged unless Tooldar clearly confirms that step. Custom or produced goods may be non-refundable except for defects, fulfillment errors, or rights that cannot legally be waived.
Availability, changes, and customer backups
We work to keep Tooldar reliable but do not promise uninterrupted or error-free service. Maintenance, provider failures, network conditions, device permissions, damaged labels, or events outside our control may interrupt access. We may modify features to improve security, comply with law, or maintain the service, while avoiding material reduction of paid core functionality during a current term when reasonably possible. Customers should use Tooldar exports and maintain any independent records required by their business or law.
Intellectual property and feedback
Tooldar and its software, branding, designs, documentation, and non-customer content are owned by Tooldar or its licensors and protected by law. These Terms grant only a limited, revocable, non-transferable right to use the service during an authorized account or subscription. If you provide suggestions, you permit Tooldar to use them without restriction or payment, without identifying you publicly unless you agree.
Suspension and termination
We may suspend or terminate access for nonpayment, security risk, unlawful use, material breach, or conduct that threatens Tooldar or others. When practical, we will provide notice and an opportunity to correct the issue. You may stop using Tooldar at any time. Data export and deletion remain governed by the Privacy Policy, in-app controls, retention safeguards, and applicable law.
Disclaimers and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLDAR IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLDAR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR EQUIPMENT. TOOLDAR'S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT THE CUSTOMER PAID TO TOOLDAR DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LAW PROHIBITS THEM.
Indemnity
To the extent permitted by law, a company customer will defend and indemnify Tooldar from third-party claims arising from that company's content, unlawful use, unsafe practices, role or employment decisions, or violation of these Terms or another person's rights. Tooldar will provide reasonable notice and cooperation.
Governing law and disputes
Pennsylvania law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, both sides will try in good faith for 30 days to resolve it through written notice. Unless applicable law requires otherwise, claims must be brought in the state or federal courts serving Northumberland County, Pennsylvania, and each side consents to that jurisdiction.
General terms and contact
These Terms and the Privacy Policy are the agreement concerning Tooldar unless a signed written agreement says otherwise. If one provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; Tooldar may assign them with the service or business. We may update these Terms with notice appropriate to the change. Continued use after the effective date means acceptance.
